Terms of Use

1. Who may use the Service

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) and capable of forming a binding contract to use the Service. If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that entity to these Terms, in which case "you" refers to that entity. The Service is not directed to children, and you may not use it if you are barred from doing so under applicable law or export/sanctions rules.

2. Your account

To use most features you must create an account and provide accurate, complete information, including a valid email address and mobile number used to verify your identity and secure your sign-in. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us promptly at support@govirable.com of any unauthorized use. We may refuse, suspend, or reclaim any username, and we are not liable for losses caused by unauthorized use of your account. You may enable additional security such as SMS verification; standard message and data rates from your carrier may apply.

3. The Service & AI features

GoVirable is an AI-assisted creator studio that ingests long-form video and helps you transform it into short, social-ready clips — including transcription, clip selection and virality scoring, captions, reframing, effects, brand-kit styling, thumbnails, voiceover/dubbing, and, at your direction, scheduling and publishing to third-party platforms you connect. Features rely on automated systems and machine-learning models and may change, improve, or be discontinued at any time. We do not guarantee any particular result, reach, engagement, monetization, or that any platform will accept, distribute, or retain your content.

4. Credits, plans & billing

• Credits. Processing is metered in credits. You spend credits when you add a video to the Service; the number of credits depends on the length of the source video. Making clips, captions, edits, and publishing from an added video does not itself consume additional credits, except where a feature is expressly identified as billable.
• Free tier. The Free plan includes a monthly credit allotment that resets each billing month and does not roll over.
• Membership. Paid membership provides a larger monthly credit allotment and is billed in advance on a recurring basis (monthly or annually) at the price shown at checkout, plus applicable taxes. Memberships renew automatically until cancelled.
• Top-up credits. Additional credit packs may be purchased by active members. Prices are shown at checkout.
• Authorization. By providing a payment method you authorize us and our payment processor to charge all fees, recurring charges, and taxes to that method. If a charge fails, we may retry and may suspend paid features until payment is resolved.
• Price changes. We may change prices, plan features, or credit allotments prospectively. We will give notice of material changes, and changes take effect on your next billing cycle.

5. Free trials & promotions

We may offer free trials or promotional pricing. Unless stated otherwise, if you do not cancel before a trial ends, we may automatically begin charging the applicable subscription fee. Promotions are subject to their own terms, may be modified or withdrawn at any time, and may not be combined unless we say so.

6. Cancellation & refunds

You may cancel your membership at any time from your account settings; cancellation takes effect at the end of the current billing period, and you retain access to paid features until then. Except where required by law, fees and credit purchases are non-refundable, and unused monthly credits are not refundable or transferable. Purchased top-up credits do not expire while your account is in good standing. We do not provide refunds or credits for partial billing periods, unused allotments, or dissatisfaction with AI output.

7. Your content & license to us

You retain all ownership rights in the video, audio, images, text, and other materials you upload, import, or generate through the Service ("Your Content"). You grant GoVirable a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transcode, modify (e.g., clip, caption, reframe, dub), create derivative works from, and transmit Your Content solely to operate, provide, secure, and improve the Service and to publish it to the accounts and platforms you direct. This license ends when Your Content is deleted from the Service, except for reasonable backup copies and where continued use is required by law. You represent and warrant that you own or have all rights, licenses, consents, and permissions necessary to your content — including to any music, footage, trademarks, and to the likeness and voice of any person appearing in it — and that your content and its publication do not violate any law or third-party right.

8. AI-generated output

The Service uses artificial-intelligence models to generate or suggest clips, captions, scores, images, voiceovers, and other output ("Output"). AI Output can be inaccurate, incomplete, or inappropriate and may not be unique to you; similar Output may be generated for other users. You are responsible for reviewing Output before you publish or rely on it, and for ensuring it is accurate, lawful, non-infringing, and appropriate for your audience and each platform. As between you and us, and to the extent permitted by law, we assign to you our rights in Output generated specifically for you from Your Content; you are responsible for that Output as if it were Your Content. Do not use the Service to generate content that is deceptive (including undisclosed synthetic media of real people), unlawful, or that infringes others' rights.

9. Connected platforms

When you connect a third-party account (such as TikTok, YouTube, Instagram, Facebook, LinkedIn, X, Pinterest, or Threads), you authorize GoVirable to access, publish, schedule, and read basic information through that platform's API on your behalf, within the permissions you grant. Your use of each platform is also governed by that platform's own terms and policies, and those platforms may change or restrict their APIs, reject content, or act on their own rules at any time. You are responsible for complying with each platform's requirements, including disclosure, advertising, and content rules. You may disconnect a platform at any time; doing so may stop scheduled posts that have not yet been published.

10. Acceptable use

You agree not to, and not to permit anyone to:

• upload, generate, or publish content that is illegal, infringing, defamatory, obscene, hateful, harassing, deceptive, or that sexualizes minors;
• violate the intellectual-property, privacy, publicity, or other rights of any person, or the rules of any connected platform;
• upload content you do not have the rights to, or use another person's likeness or voice without permission;
• use the Service to send spam, run undisclosed advertising, or engage in coordinated inauthentic behavior;
• reverse-engineer, decompile, scrape, or attempt to extract source code or models, except where such restriction is prohibited by law;
• circumvent credit metering, rate limits, security, or access controls, or share, resell, or sublicense the Service or your account without our permission;
• introduce malware, overload or disrupt the Service, or gain unauthorized access to any system or data; or
• use the Service to develop a competing product or to train a competing machine-learning model.

We may, but are not obligated to, review, filter, or remove content and may report unlawful activity to authorities.

11. Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation or compensation to you.

12. Our intellectual property

The Service, including its software, models, design, text, graphics, logos, and the "GoVirable" and "Virable" names and marks, are owned by GoVirable or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. All rights not expressly granted are reserved. You may not use our names or marks without our prior written consent.

13. Third-party services

The Service integrates third-party technologies and providers (for example, cloud hosting, transcription, large-language-model, image-generation, text-to-speech, SMS/email, and payment providers). Those services are governed by their own terms and privacy practices, and we are not responsible for them. Availability of certain features may depend on these providers.

14. Privacy & data

Our Privacy Policy explains how we collect, use, and share personal data and is incorporated into these Terms. You can request deletion of your data as described in our Data Deletion policy. You are responsible for having any legally required consents from individuals appearing in Your Content.

15. Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, remove content, or reclaim usernames if we reasonably believe you have violated these Terms, created risk or legal exposure for us or others, or if required by law or a platform, or for prolonged inactivity or non-payment. Upon termination, your right to use the Service ends and we may delete Your Content. Sections that by their nature should survive termination (including content licenses granted to us, disclaimers, limitations of liability, indemnity, and dispute terms) will survive.

16. Disclaimers

The Service and all Output are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage. We do not warrant that the Service will be uninterrupted, secure, error-free, or that clips, captions, scoring, scheduling, publishing, or AI Output will be accurate, reliable, or meet your expectations.

17. Limitation of liability

To the maximum extent permitted by law, GoVirable and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or content, arising out of or relating to the Service, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid to GoVirable for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the smallest extent permitted by law.

18. Indemnification

You will defend, indemnify, and hold harmless GoVirable and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, your violation of these Terms or applicable law, or your infringement of any third-party right.

19. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Subject to the arbitration section below, the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to their jurisdiction and venue.

20. Arbitration & class-action waiver

Please read this section carefully — it affects your legal rights. Except for claims that may be brought in small-claims court and requests for injunctive relief to protect intellectual property, you and GoVirable agree to resolve any dispute arising out of or relating to these Terms or the Service through final and binding individual arbitration, rather than in court. You and GoVirable waive any right to a jury trial and to participate in a class, collective, or representative action. Where applicable law does not permit arbitration or the class-action waiver, this section does not apply to the extent prohibited. You may opt out of this arbitration agreement by emailing support@govirable.com within 30 days of first accepting these Terms.

21. Changes to the Service or Terms

We may modify the Service and these Terms from time to time. If we make material changes, we will update the "Effective date" above and, where appropriate, provide additional notice. Changes are effective when posted (or on a later stated date). Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service.

22. General

These Terms, together with the Privacy Policy and any order or plan details, are the entire agreement between you and GoVirable regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any agency, partnership, or employment relationship. Notices to you may be provided in-app or by email.
